Advisor Agreement, NDA and Governance Terms

In Plain English
As an advisor, you work with us as an independent contractor, engagement by engagement. You will keep candidate and client information confidential, score candidates using our platform and rubric, and get paid per engagement, typically $1,200 to $5,000 depending on scope. This page is a plain language summary. Please review it carefully, and feel free to have your own advisor look it over before you accept an engagement.
1. ADVISOR RELATIONSHIP
You work with Sebastian Group LLC as an independent contractor, not as an employee. Each engagement is separate: we are not obligated to offer you a minimum number of engagements, and you are not obligated to accept any specific engagement. You are responsible for your own taxes and are not eligible for employee benefits through Sebastian Group.
2. SCOPE OF WORK
When you accept an engagement, you will typically be asked to assess and score 4 to 5 candidates using Sebastian Group’s scoring platform and rubric. You are responsible for completing your assessments accurately and within the timeframe agreed for that engagement.
3. FEES AND PAYMENT
You are paid per engagement, not on a retainer. Fees range from $1,200 to $5,000 per engagement, depending on the scope and seniority of the search. The fee for a specific engagement will be confirmed with you before you begin.
4. CONFIDENTIALITY (NDA)
In the course of an engagement, you may receive confidential information about candidates, such as resumes, assessment notes and compensation details, and about our clients, such as role details, hiring plans and internal team information. You agree to keep this information confidential, use it only to complete your assessment, and not share it with anyone outside the engagement. This obligation continues after the engagement ends. You will not contact a candidate or client directly outside the scope of an engagement without our permission.
5. GOVERNANCE AND STANDARDS
You agree to score candidates using our platform and rubric, applied consistently and honestly. Before starting an engagement, you will disclose any conflict of interest, such as a prior relationship with a candidate or client. We review advisor assessments for quality, and may decline to offer you further engagements if an assessment is inaccurate, biased, or late.
6. WORK PRODUCT
The assessments, scores and notes you produce as part of an engagement belong to Sebastian Group and may be shared with our client as part of the search.
7. TERM AND TERMINATION
Either you or Sebastian Group may decline or end a specific engagement at any time. This does not end your standing as an advisor, it applies only to that engagement.
8. A NOTE ON THIS PAGE
This page is a plain language summary of the terms you agree to as a Sebastian Group advisor. It is not a substitute for a full legal review, and we recommend you review it, and any engagement specific agreement, with your own advisor before accepting work.
